Section 171 of the Companies Act 1967 requires every company incorporated in Singapore to appoint a company secretary within six months of incorporation, and the Accounting and Corporate Regulatory Authority (ACRA) treats a prolonged vacancy as a breach rather than an oversight [1]. Leaving the office empty beyond six months exposes the directors to a fine of up to S$1,000.
That deadline pushes most founders into signing with the first provider that quotes a low annual figure. The problem surfaces twelve months later — a missed annual return, a late lodgement penalty, statutory registers that were never properly maintained, and a provider who takes four days to answer an email.
If you are selecting a secretarial provider for the first time, or weighing a switch, here is what a proper retainer actually covers, the checks that separate a registered professional firm from a cheap filing service, and the questions worth asking before you sign anything.
1. What Belongs in a Secretarial Retainer
Annual quotes in Singapore range widely, and the gap is almost never about quality of service — it is about scope. Two providers can quote the same number while delivering very different things.
| Typically included | Frequently charged separately |
| Named company secretary appointed in ACRA records | Change of director, secretary or shareholder |
| Preparation and filing of the annual return | Share allotment or transfer of shares |
| AGM documentation, or the written resolution in lieu | Change of company name or financial year end |
| Maintenance of statutory registers and the RORC | Registered office address service |
| Standard board resolutions during the year | Drafting of non-standard resolutions |
| Compliance deadline reminders | XBRL preparation and conversion |
Neither column is wrong. A firm charging separately for share allotments is being transparent, not opportunistic. What matters is that you see both columns in writing before you sign. A quote that lists only the first column and stays silent on the second is where disputes begin.
Ask for the full disbursement schedule. The ACRA annual return filing fee for a local company is S$60, and that figure is fixed by the regulator — any provider should be able to tell you instantly whether it sits inside or outside their quoted retainer.
2. The Baseline Check Most Founders Skip
Before comparing fees, confirm two things.
Is the firm a Registered Filing Agent (RFA)? For many lodgements, an RFA submits the application in Bizfile on the company’s behalf and makes the required declarations for you [1]. An RFA registration is a regulatory status, not marketing language, and it is verifiable.
Who, specifically, will be your company secretary? The appointee must be a natural person ordinarily resident in Singapore and named in your ACRA records. Note also that where a company has a sole director, that same person cannot also serve as the company secretary. If a provider cannot tell you the name of the individual who will hold the office, you are buying a hotline rather than a secretary.
This matters more than it sounds. The company secretary is an officer of the company with real statutory exposure. Professional corporate secretarial services singapore are priced accordingly, because the firm is accepting a named role, not just processing forms.
3. Red Flags Worth Walking Away From
- No named secretary. You get a service desk and a ticket number instead of an officer of your company.
- Quotes with no disbursement schedule. The low headline figure almost always carries a second invoice behind it.
- Vague turnaround commitments. Changes to company information generally need to reach ACRA within 14 days of the change. “We’ll get to it” is not compatible with a 14-day statutory window.
- No handover documentation on exit. Your statutory registers, Register of Registrable Controllers (RORC) and minute book belong to your company. A provider who makes them difficult to retrieve is holding your compliance history hostage.
- Secretarial work sold entirely detached from accounting and tax. The annual return references your financial statements. When the two sit with providers who never speak, the gaps land on you.
The last point is the most expensive one in practice. Your AGM, annual return and tax filing all run off the same set of accounts, which is why many SMEs eventually consolidate with a single corporate service provider singapore rather than coordinating three vendors against three deadlines.
4. The Annual Cycle Your Provider Must Manage
Judge any provider against the calendar they will actually be working to. For a non-listed private company:
| Obligation | Deadline |
| Hold the AGM, unless exempted or dispensed with | Within 6 months after financial year end |
| File the annual return with ACRA | Within 7 months after financial year end |
| Notify ACRA of changes to company information | Generally within 14 days of the change |
| Appoint a company secretary (new company) | Within 6 months of incorporation |
Late filing of the annual return attracts a late lodgement penalty at the point of filing, and ACRA may take separate enforcement action for AGM and annual return breaches [2]. Our full walkthrough of ACRA filing services singapore sets out the annual return and AGM sequence in detail.
Expert Note: Ask a prospective provider when they begin chasing you for the annual return. A firm that starts at month five of a seven-month window is managing the deadline. A firm that contacts you in month seven is reacting to it — and leaves no room for an unexpected issue in your financial statements.
Five Questions to Ask Before You Sign
☑️ Registration: Is your firm a Registered Filing Agent with ACRA, and who specifically will be appointed as our company secretary?
☑️ Scope: Can I see the full list of what sits outside the retainer, with the fee for each?
☑️ Turnaround: What is your committed turnaround for a Bizfile lodgement once we send instructions?
☑️ Continuity: If our named secretary leaves your firm, what is the handover process?
☑️ Exit: On termination, how and when are our statutory registers, RORC and minute book returned to us?
A Secretary Who Knows the Year Before It Arrives
