Company Incorporation Services in Singapore
Registering a company on Bizfile can be quick, but a rejected name, a constitution that does not fit your shareholding or a missing resident director can hold things up. What You Need to Incorporate a Company in Singapore
Before a private limited company can be registered on Bizfile, the following must be in place.
| Requirement | Details |
|---|---|
| Company name | Approved by ACRA. Once approved, the name is reserved for 120 days, and the company must be registered within that time. |
| At least one resident director | A director who is ordinarily resident in Singapore, such as a Singapore Citizen, Permanent Resident or eligible pass holder living here. |
| At least one shareholder | An individual or a corporate entity, local or foreign. Foreigners can own 100% of the shares. |
| Constitution | Sets out how the company is run and how shareholders and directors make decisions. |
| Registered office address | A physical address in Singapore where official documents can be received. A P.O. Box is not accepted. |
| Company secretary | Must be appointed within 6 months of incorporation. |
This is a general guide. We confirm the requirements for your structure before filing.

Filing with ACRA
We reserve the name and file the incorporation on Bizfile.
Company registered

After incorporation
We set up your registers and secretarial records and plan your first filing deadlines.
How Long Does Incorporation Take?
According to ACRA, most company registrations are approved soon after payment. Complex applications can take up to 15 working days, and applications that need approval from another authority can take 14 to 60 days. Preparing the name, constitution and consents in advance avoids most delays on our side.
Incorporating as a Foreign Business Owner
Foreign owners can hold all of the shares in a Singapore company, but the company still needs at least one director who is ordinarily resident in Singapore. If you do not have one, our resident director service can meet the requirement while you arrange your own. A resident director has real legal duties, so the arrangement should be properly documented.
Once the company is set up, our corporate secretarial services and corporate tax services keep it compliant with ACRA and IRAS as it grows.
